Partner Program Terms and Conditions


These terms and conditions apply to all KAPR Exclusive Hair Style Products partner programs, including Community Creator, Creator Pro, Creator VIP, Professional, Professional VIP, and Pro Insider (collectively: the Program). By participating, you agree to the provisions below.

1. Definitions

In these terms and conditions, the following definitions apply:

KAPR
KAPR B.V. and its affiliated companies.

Partner
Any natural or legal person admitted by KAPR to one of the Programs.

Program
KAPR's Creator and Professional Program, including all variants such as Community Creator, Creator Pro, Creator VIP, Professional, Professional VIP, and Pro Insider.

Promotional Link
The unique link or code assigned to the Partner used to refer customers to KAPR and through which referrals are technically registered.

Referral
A customer who places an order with KAPR via the Partner's Promotional Link or code.

Commission
The fee owed by KAPR to the Partner on eligible orders or salon turnover, according to the Program currently in effect.

Number of Connected Days
The period during which a customer is linked to the Partner for commission on eligible orders, provided the Partner remains active and admitted to the Program.

Cookies
The period during which the system can track Partner referrals after a customer has clicked on the Promotional Link.


2. Duration of Participation

  1. Participation in a Program commences at the moment KAPR has confirmed the Partner's application in writing or digitally.

  2. Participation is for an indefinite period, as long as:
    • the Partner meets all Program conditions
    • the Partner is considered active by KAPR
    • KAPR offers the relevant Program

  3. KAPR has the right at all times to amend, suspend, or completely terminate Programs. KAPR will endeavor to inform Partners of significant changes in a timely manner, to the extent reasonably possible.


3. Duration of Customer Linking and Cookies

  1. Each Program has a fixed Number of Connected Days within which orders from linked customers are eligible for commission, as long as the Partner is active in the Program.

  2. The technical linking of a customer to a Partner takes place according to the systems used (including cookies, customer accounts, discount codes, and reference fields).

  3. KAPR cannot guarantee that every referral will always be correctly registered. Malfunctions, deletion of cookies, use of other devices, use of ad blockers, or other technical behavior by the customer may result in a referral not being recognized. In such cases, there is no automatic right to commission.

  4. The duration of cookies may vary per Program and can be adjusted by KAPR.


4. Admission and Program Change

  1. KAPR evaluates each application and reserves the right to refuse participation without stating reasons.

  2. Admission to Creator Pro, Creator VIP, Professional, Professional VIP, and Pro Insider is only possible by invitation from KAPR or via a KAPR-recognized Partner, in accordance with the current Program criteria.

  3. KAPR may, at its discretion:
    • upgrade the Partner to a higher Program
    • downgrade the Partner to a basic Program
    • transfer the Partner to an adapted or new Program

  4. Upon changing Programs, commission percentages, Number of Connected Days, and other conditions may change.


5. Rules of Conduct and Promotion of KAPR

The Partner must at all times act in line with KAPR's brand values and reputation. At a minimum, the following rules apply:

  1. The Partner presents KAPR in a professional, honest, and non-misleading manner.

  2. The Partner shall not make statements that can be interpreted as denigrating, discriminatory, hateful, or otherwise harmful to the reputation of KAPR, its employees, partners, or customers.

  3. The Partner may not present themselves as an employee, representative, agent, or official spokesperson of KAPR, unless KAPR has given written permission for this.

  4. The Partner may only use KAPR brand expressions, logos, images, and texts according to the guidelines provided by KAPR.

  5. It is not permitted to set up domain names, social media accounts, or advertisements in a way that could cause confusion about who the official KAPR organization is.

  6. Paid advertisements using the brand name KAPR or variations thereof are only permitted after prior written consent from KAPR.


6. Promotion of Other Hair Styling Brands

  1. Partners may generally collaborate with multiple brands, unless KAPR and the Partner have explicitly agreed otherwise.

  2. KAPR reserves the right to immediately terminate or suspend participation if:
    • the Partner actively promotes competing hair styling brands in a way that directly harms or displaces KAPR
    • the Partner portrays KAPR negatively or in unfavorable comparative advertising compared to other brands
    • KAPR reasonably believes that the combination of collaborations damages KAPR's credibility or exclusive positioning

  3. In serious cases, KAPR may decide to exclude the Partner from other Programs and future collaborations as well.


7. Undesirable Behavior, Fraud, and Misuse

KAPR attaches great importance to the fair use of the Program. Among others, the following situations may lead to immediate termination, suspension, or recovery:

  1. The artificial creation of transactions, including:
    • repeatedly placing and canceling orders
    • orders without a genuine end-customer
    • misuse of returns or warranty

  2. Ordering through one's own Promotional Link or through Promotional Links of individuals in one's own household, when KAPR explicitly prohibits this in the relevant Program, or when this is visibly intended to maximize commission without genuine promotional activities.

  3. Sharing discount codes on forums, discount sites, or platforms when KAPR indicates that these codes are intended only for a delimited target group or promotion.

  4. Manipulating or circumventing tracking systems, using scripts, bots, or other technical means to generate additional clicks, leads, or orders.

  5. Falsifying data, providing incorrect identity details, bank details, or tax information.

  6. Violating laws or regulations, including those concerning advertising, consumer law, privacy, and platform rules.

  7. Sending spam, unsolicited commercial messages, or aggressive approaches to potential customers.

  8. Repeatedly violating clear instructions or guidelines from KAPR.

In all these cases, KAPR may, at its sole discretion:

• temporarily block payments
• completely or partially forfeit accrued but not yet paid commissions
• immediately terminate participation in one or more Programs
• permanently exclude the Partner from future Programs


8. Inactivity

  1. KAPR may determine that a Partner is considered inactive if no substantive promotional activities or no eligible orders occur for a prolonged period.

  2. In case of inactivity, KAPR has the right to:
    • downgrade the Partner to a basic Program
    • completely terminate participation after prior notice

  3. Upon termination due to inactivity, the customer linkage is cancelled, and the right to future commission is forfeited, unless KAPR states otherwise in writing.


9. Negative Statements and Reputation Damage

  1. If a Partner makes public or digital statements that KAPR, its products, employees, or partners, in KAPR's opinion, could seriously harm, KAPR may immediately terminate participation.

  2. This includes, but is not limited to:
    • deliberately false or misleading statements about product quality, safety, or origin
    • insulting or offensive remarks towards KAPR or its partners
    • association of KAPR with illegal activities, hate speech, or other forms of harmful content

  3. In such cases, KAPR may decide to permanently exclude the Partner from all current and future Programs.


10. Commissions and Payout

  1. The amount of commissions, the distribution between first orders and repeat orders, Multi-Level Marketing structures, and PRO referrals are specified per Program in the corresponding overview.

  2. Commission is only awarded for orders that:
    • are correctly registered via the Promotional Link or assigned code
    • have been accepted and paid for by KAPR
    • have not been fully canceled, returned, or credited

  3. In case of misuse, fraud, or violation of these terms and conditions, KAPR may correct or reclaim already recorded commissions.

  4. The Partner is responsible for timely and correct submission of payment and tax information required for commission payout.


11. Tax and Legal Responsibility of the Partner

  1. The Partner is solely responsible for paying taxes, social security contributions, and other levies related to the received commissions.

  2. The Partner indemnifies KAPR against claims from the tax authorities or other bodies arising from the Partner's non-compliance with tax obligations.


12. Amendment of Terms and Conditions

  1. KAPR may amend these terms and conditions and the content of the Programs at any time.

  2. Significant changes will be communicated to the Partner in advance, to the extent reasonably possible, via email or the Partner dashboard.

  3. If the Partner continues to actively use the Program after the changes come into effect, this will be considered acceptance of the amended terms and conditions.


13. Termination by the Partner

  1. The Partner may terminate participation in a Program at any time by notifying KAPR in writing or by email or by no longer using the Promotional Link.

  2. Upon termination, the customer linkage is cancelled, and the right to commission for orders placed after the termination date is forfeited, unless KAPR states otherwise in writing.

  3. KAPR will pay out any outstanding and approved commissions according to the usual payment cycle, provided there is no fraud, misuse, or other grounds for forfeiture as described in these terms and conditions.


14. Other Provisions

  1. If a provision in these terms and conditions is null and void or is annulled, the other provisions shall remain fully in force. In that case, KAPR and the Partner will agree on a new provision that approximates the intent of the original provision as closely as possible.

  2. These terms and conditions are exclusively governed by Dutch law.

  3. Disputes arising from or related to these terms and conditions shall preferably be resolved by mutual consultation. If this is not possible, disputes may be submitted to the competent court in the Netherlands.


15. Explanation of footnotes

For clarity, the following designations may be used in overviews of the Programs:

• * All stated percentages for the first order apply exclusively to customers who place their first order with KAPR via the relevant Partner.
• ** Number of linked days refers to the period during which a customer is linked to a Partner, as long as the Partner is actively participating in the Program and has not been terminated or excluded.
• *** Cookies indicates the technical period during which the system registers referrals after a customer has clicked on the Partner's Promotional Link.
